Terms of Service

Acceptance

These Terms govern your use of DBShifts (the "Service"). By creating an account you agree to them and to our Privacy Policy. If using on behalf of an organization, you represent you have authority to bind it.

Definitions

  • "Customer Data" means data from databases you connect to the Service, including schema, rows, and query results — as distinct from "Account Data" (your name, email, and billing information, covered in our Privacy Policy).
  • "Agent" means any AI agent, script, or automated system you connect to the Service, including via the Agent Gateway.
  • "you" / "your" means the individual or organization that holds the account; if you use the Service on behalf of an organization, "you" includes that organization.

The Service

DBShifts provides three products on one platform:

  • Migration — schema conversion and data transfer between supported engines (MySQL, PostgreSQL, SQL Server, Oracle, SQLite, MongoDB, MariaDB, Redshift, CockroachDB, YugabyteDB, TiDB), with validation, masking, dry-run, rollback, CDC incremental sync, staged cutover, scheduled reconciliation monitors, zero-lock schema changes, reversible cutover between two linked migrations, chaos-tested migration certification, signed proof-of-migration certificates, and a column-level data lineage graph.
  • Data Console — read-only browsing, search, PII discovery, reconciliation, access reviews, masked test-data copies, and dataset version control (commit, branch, diff, and merge a table's history) for databases you connect.
  • Agent Gateway — policy-governed, audited access to your databases for AI agents you operate, via scoped tokens over MCP or REST, including optional human-approved write actions with dataset version control automatically recording a diffable, revertible history of every approved write.

We may modify or discontinue features with reasonable notice.

Beta and preview features. Features or migration pairs labeled "beta," "preview," or similar are provided for evaluation, may change materially or be discontinued without the notice period described under Changes below, and are excluded from any uptime or accuracy expectations otherwise implied by this section.

Accounts

  • Provide accurate information; keep credentials confidential
  • Notify us of unauthorized access
  • You must be at least 16 years old
  • No automated/bot account creation

Acceptable Use

You may not:

  • Migrate, browse, or expose through the Agent Gateway data you are not authorized to process
  • Circumvent access controls, masking, rate limits, or usage budgets
  • Upload malicious payloads or reverse-engineer the Service
  • Violate applicable laws (GDPR, CCPA, HIPAA, etc.)
  • Resell the Service without written consent
  • Conduct DoS attacks or generate unreasonable load

Your agents are your responsibility. AI agents you connect through the Agent Gateway act on your behalf: you are responsible for the policies you configure, the tokens you issue, the write actions you (or your Slack approvers) approve, and your agents' compliance with these Terms.

Billing

DBShifts offers a free tier with usage quotas (rows migrated, features). When you subscribe to a paid plan: payments are processed by Stripe; subscriptions renew automatically until cancelled; you can cancel anytime in Billing, effective at the end of the current period; usage beyond your plan's quotas may be blocked or require an upgrade. Rows migrated count against quota even for cancelled or partially failed runs. Fees are non-refundable except where required by law.

Your Data

You retain ownership of your data and grant us a limited license to process it solely to provide the Service. You are responsible for your legal right to migrate, browse, or expose the data involved, for compliance with data-protection laws, and for maintaining independent backups. DBShifts is not a backup service.

Masking and policies are configuration, not a guarantee. PII detection is automated and best-effort; masking, row limits, budgets, and token restrictions apply as you configure them. Review scan results and use the policy preview before exposing a database to an agent or a teammate.

Dataset version control is an explicit exception to "not persistently stored." When you commit a snapshot of a table (or an Agent Gateway auto-commits one after an approved agent write), the row content itself is stored — content-addressed, so unchanged rows aren't duplicated — until you delete the branch or commit, delete the connected data source or gateway, or delete your account. Your configured PII masking is applied when that history is viewed (checkout, diff), the same as browsing, but the underlying stored content is not masked at rest. Don't version-control a table if you don't want its history retained this way.

For Customer Data containing personal data subject to GDPR, UK GDPR, or similar law, we act as a processor and you (or your organization) act as the controller. Enterprise customers may request a Data Processing Addendum at contact@dbshifts.com.

Confidentiality

Each party may access the other's non-public business, technical, or product information ("Confidential Information") — Customer Data is Confidential Information regardless of how it's marked. Each party will protect the other's Confidential Information with the same care it uses for its own (and no less than reasonable care), use it only to perform under these Terms, and not disclose it except to employees, contractors, or service providers who need it for that purpose and are bound to confidentiality terms at least as protective as these. Confidential Information does not include information that is or becomes public without breach of this section, was already known without an obligation of confidentiality, or is independently developed without reference to it. Either party may disclose Confidential Information when legally compelled, with reasonable advance notice where legally permitted.

Intellectual Property

The Service, its software, and trademarks are owned by DBShifts. These Terms transfer no ownership to you. Feedback you provide may be used without obligation.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant uninterrupted or error-free operation, or 100% accurate migration. Always verify results and keep independent backups.

Validation, reconciliation, and cutover checks (row counts, checksums, drain detection) are engineering safeguards, not a warranty: sampled modes verify samples, and even exact modes depend on your databases' state at check time. The cutover feature will not flip until its checks pass, but the decision to go live — and to keep backups until you trust the target — remains yours.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DBSHIFTS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING DATA OR PROFIT LOSS), EVEN IF ADVISED OF THE POSSIBILITY. Except for the carve-outs below, total aggregate liability of either party shall not exceed the greater of amounts you paid us in the 12 months before the claim arose or $100 USD.

This cap does not limit: either party's indemnification obligations under this section, a party's breach of the Confidentiality section, DBShifts's infringement of your IP rights or your infringement of ours, or liability that cannot be limited or excluded under applicable law (including gross negligence, willful misconduct, or fraud, where a jurisdiction does not permit limiting liability for those).

Indemnification

You agree to indemnify DBShifts against claims arising from your use of the Service in violation of these Terms, your violation of law or third-party rights, or data you migrate.

Termination

You may delete your account anytime in Settings. We may suspend or terminate access for Terms violations, fraud, or legal requirement. Disclaimers, liability limits, and IP terms survive termination.

General Provisions

  • Entire agreement. These Terms (with the Privacy Policy and, where applicable, an order form or DPA) are the entire agreement between you and DBShifts regarding the Service, superseding prior discussions or agreements on the same subject.
  • Severability. If any provision is found unenforceable, the rest remain in full effect, and the unenforceable provision will be interpreted to best reflect its original intent.
  • Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent, except to a successor in a merger, acquisition, or sale of substantially all assets. We may assign these Terms freely, including in connection with a merger, acquisition, or asset sale.
  • Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control (natural disaster, war, internet or infrastructure outage, act of government, labor dispute, or similar).
  • Export & sanctions compliance. You may not use the Service in violation of applicable export control, sanctions, or foreign exchange laws — including those of India and the United States (our infrastructure providers are U.S.-based) — or if you are located in, or on a government list of, a sanctioned country or party.
  • Notices. We may send legal notices to the email on your account; they're effective when sent. Send notices to us at the Contact address below.
  • No third-party beneficiaries. These Terms benefit only you and DBShifts — not your end users, your AI agents, or anyone else.

Changes

Material changes are announced via email or in-app notice at least 14 days before they take effect.

Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles.

Dispute resolution. Any dispute arising from these Terms or the Service will first be raised in writing to contact@dbshifts.com for good-faith resolution. If unresolved within 30 days, the dispute will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement, seated in [City], India, conducted in English. The courts at [City], India have exclusive jurisdiction over matters not subject to arbitration, including interim or injunctive relief in aid of arbitration, IP infringement, or unauthorized access to the Service.
